About Us

Diatom Technologies Ltd is registered in Republic of Ireland, with registered office at 77 Sir John Rogerson’s Quay, Block C, Grand Canal Docklands, Dublin, Ireland. We specialise in IT resourcing, contractor placement, and AI solutions.

Acceptance of Terms

By engaging our services, accessing our website, or signing a Statement of Work (SOW), you agree to be bound by these Terms and Conditions.

Our Services

Diatom Technologies provides:

  • IT contractor and permanent resourcing services
  • AI consulting, implementation, and integration services
  • Technology advisory and project management
  • Staff augmentation and managed services

Client Obligations

Clients agree to:

  • Provide accurate information required to deliver services
  • Appoint a named point of contact for day-to-day management
  • Make timely decisions to avoid project delays
  • Pay invoices within agreed payment terms
  • Not directly engage any contractor introduced by us for 12 months post-placement without prior written consent

Fees & Payment

Unless otherwise agreed:

  • Fees are set out in the relevant SOW or engagement letter
  • Invoices are due within 30 days of issue
  • Late payments accrue interest at 8% per annum above the applicable base rate
  • All fees are exclusive of VAT

We reserve the right to suspend services for overdue accounts.

Intellectual Property

Unless stated otherwise in a SOW:

  • Pre-existing IP remains the property of its original owner
  • Work product under fixed-price engagements transfers to client upon full payment
  • General methodologies remain the property of Diatom Technologies

All rights are governed by Irish and EU intellectual property law.

Confidentiality

Each party agrees to keep confidential all non-public information, use it solely for the engagement, and not disclose it to third parties. These obligations survive termination for 3 years.

Data Protection

Both parties shall comply with GDPR (EU) 2016/679 and the Data Protection Acts 2018. A Data Processing Agreement (DPA) will be entered into where we process personal data on behalf of a client. See our Privacy Policy for full details.

Limitation of Liability

To the maximum extent permitted by Irish law, Diatom Technologies Ltd shall not be liable for indirect, consequential, or punitive damages.

  • Loss of profits or revenue
  • Loss of business or contracts
  • Loss of anticipated savings
  • Indirect or consequential loss

Total aggregate liability shall not exceed fees paid in the 3 months preceding the claim.

Nothing in these Terms limits rights you may have under the Consumer Rights Act 2022 (Ireland) or EU consumer protection law.

Termination

Either party may terminate:

  • By giving 30 days’ written notice
  • Immediately upon material breach uncured after 14 days’ notice
  • Immediately if the other party becomes insolvent

Outstanding fees for completed work become immediately due on termination.

Warranties & Disclaimers

We warrant that:

  • Services will be performed with reasonable skill and care
  • Contractors placed are screened and vetted to our standard procedures
  • We hold appropriate professional indemnity and public liability insurance

Dispute Resolution

Any dispute shall first be referred to mediation under the Mediation Acts 2017 (Ireland) before proceedings are issued in the courts of Ireland.

Nothing prevents either party from seeking urgent injunctive relief.

Governing Law

These Terms are governed by the laws of Republic of Ireland. Each party submits to the exclusive jurisdiction of the Irish courts.

Amendments

We may update these Terms from time to time. Material changes will be notified by email or via a notice on our website.
